EXHIBIT A 

END USER LICENSE AGREEMENT (EULA)

Version 3.1 – Effective February 23, 2026

This End User License Agreement (“EULA”) is incorporated by reference as Exhibit A to the Easy RFID Pro Master Subscription & Services Agreement.


1. License Grant

Subject to payment of applicable fees and compliance with the Master Subscription & Services Agreement (MSSA), Company grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software during the subscription term solely for internal business operations. All rights not expressly granted are reserved.

2. Subscription-Based Access

Access to the Software is contingent upon active subscription status, timely payment, compliance with contractual obligations, and maintenance of a valid payment method. Company may suspend access for non-payment, security risk, API abuse, or policy violations. Suspension does not relieve payment obligations.

3. Restrictions

Customer shall not reverse engineer, decompile, modify, copy, create derivative works, circumvent subscription enforcement mechanisms, remove proprietary notices, distribute the Software, or use it for unlawful purposes. Competitive benchmarking is prohibited without written consent.

4. API Usage & Integration

API access is subject to authentication, token authorization, rate limits, and documented specifications. Company may modify or deprecate APIs with reasonable notice. Company is not responsible for failures of third-party systems including integration partners, payment processors, cloud hosts, or cellular carriers.

5. Multi-Tenant Platform

Customer acknowledges the Software operates within a shared multi-tenant cloud environment. Company maintains control over infrastructure and system architecture. Customer receives logical account-level access only.

6. Data Ownership & Usage

Customer retains ownership of operational data. Company may use anonymized and aggregated data for analytics and product improvement. Customer is responsible for exporting reports and maintaining backups of critical data.

7. Hardware & Firmware

Firmware embedded in Company hardware remains Company intellectual property. Customer may not extract or modify firmware. Hardware ownership transfers only as defined in the applicable agreement.

8. Remote Support

Company may provide remote support using secure tools. Remote access is initiated only with Customer’s consent and limited to troubleshooting activities. Company does not retain ongoing access and does not collect sensitive customer data beyond what is necessary to resolve issues.

9. Third-Party Software

Certain devices may include third-party software subject to separate EULAs. Company may accept required third-party agreements on Customer’s behalf for device functionality. Customer use of such software remains subject to third-party terms.

10. Updates & Modifications

Company may release updates, patches, improvements, and modifications. The Software is a continuously evolving SaaS platform.

11. Representations

Company represents that it owns or has rights to license the Software and, to its knowledge, the Software does not knowingly infringe third-party intellectual property rights.

12. Disclaimer

The Software is provided on an as-is basis subject to MSSA support obligations. Company disclaims all implied warranties including merchantability and fitness for a particular purpose.

13. Indemnification

Customer shall indemnify and hold harmless Company from claims arising from misuse, unauthorized modifications, violations of law, or third-party claims resulting from Customer conduct. Each party shall indemnify the other for willful misconduct or gross negligence. Indemnification procedures require prompt notice and cooperation.

14. Limitation of Liability

Liability is subject to limitations in the MSSA. Company shall not be liable for indirect, incidental, special, punitive, or consequential damages including lost profits or data loss.

15. Termination

License terminates automatically upon expiration or termination of the MSSA or material breach. Upon termination, Customer must cease use and destroy copies of the Software.

16. Return of Property

Upon termination, Customer shall return Company property, destroy Software copies, and certify destruction upon request.

17. Survival

Intellectual property, indemnification, limitation of liability, payment obligations, and data usage rights survive termination.
